1. Agreement to Terms

By accessing or using Just Sales Orders ("the Service"), operated by David Heller ("we," "us," or "our") at justsalesorders.com and jso.justsalesorders.com, you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.

2. Description of Service

Just Sales Orders is a hosted software-as-a-service (SaaS) application that helps businesses create, manage, and track sales orders. The Service is provided as-is, via the internet, and is accessed through a web browser. No software installation is required.

We do not offer 1:1 services, custom development, consulting, or personalized deliverables. Your subscription grants access to the hosted software only.

3. Account Registration

To use the Service, you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years old to create an account. By registering, you represent that all information you provide is accurate and current.

4. Free Trial

New accounts receive a 7-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, continued access requires an active paid subscription.

We reserve the right to modify or discontinue the free trial offer at any time.

5. Subscriptions & Billing

Just Sales Orders is offered as a monthly subscription. Pricing is as follows:

• Founder pricing: $5/month — available to the first 20 subscribers, locked in for the life of their subscription
• Standard pricing: $20/month

Payments are processed by Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles all payment processing, tax calculation, and compliance on our behalf. By subscribing, you also agree to Lemon Squeezy's Terms of Service.

Subscriptions renew automatically each month. You may cancel at any time through your account's billing settings. Cancellation takes effect at the end of the current billing period — no partial refunds are issued for unused time.

We reserve the right to change pricing with 30 days' notice. Price changes will not affect active Founder-tier subscriptions.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload or transmit malicious code or content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or otherwise extract data from the Service in an automated manner without our consent
• Resell or sublicense access to the Service
• Impersonate any person or entity

7. Your Data

You retain ownership of all data you enter into the Service (sales orders, customers, items, etc.). We do not sell your data to third parties.

You grant us a limited license to store and process your data solely for the purpose of providing the Service. See our Privacy Policy for full details on how data is handled.

You are responsible for ensuring that any data you enter into the Service complies with applicable laws, including data protection laws governing personal information belonging to your customers.

8. Intellectual Property

The Service, including its design, code, features, and content (excluding your data), is owned by Just Sales Orders and protected by applicable intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our express written permission.

9. Availability & Uptime

We aim to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses arising from Service downtime.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that defects will be corrected.

11. Limitation of Liability

To the maximum extent permitted by law, Just Sales Orders shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

You may cancel your account at any time through your billing settings or by contacting us. We reserve the right to suspend or terminate your account if you violate these Terms, with or without notice.

Upon termination, your access to the Service will end at the close of your current billing period. We may retain your data for a reasonable period after termination before deletion.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Multnomah County, Oregon.
